Langenburg Technologies (LT) is currently vetting prospective end-user clients to engage for licensed use of its advanced proprietary technology solutions. Larger-scale deployments in heavy-industrial, and municipal utility application settings are preferred.
INITIATE A PROJECT PROPOSAL WITH AN ONLINE PROJECT INQUIRY
Project inquiries are made directly from the current owner/controller of a prospective project hosting platform. Langenburg uses a project inquiry as a draft request for services from the prospective end-user client. The project hosting platform is a physical site, with facilities and connections that may be set to receive a Langenburg systems installation. Pursuant to Langenburg Company Policy, a project inquiry is also used as an instrument of diligence by Langnenburg to assess the project's viability potential, value proposition and risk assessment.

Engagements incorporate a standard, renewable 20-year term of operation that is secured by a bankable instrument such as a power purchase agreement, water purchase agreement, and/or in the case of mining operations... a properly certified assay can be used.
An engaged end-user client is the direct beneficiary of the Langenburg technology solution, with intent to follow through with the required instruments of the engagement docket (shown below). The engaged parties are collectively incentivized to continue the project's operations throughout the term by a sharing the profits generated by sales of the products resulting from the Langneburg systems installation.

REQUIRED INSTRUMENTS OF THE ENGAGEMENT DOCKET
Used by Langenburg for its initial viability assessment of a proposed project. The initial project inquiry is an introductory overview of the project, and describes the readiness level of the project. A project inquiry also serves as a draft request for services from the prospective end-user client.

2. Verification of Ownership & Control
A proposed project is made by the current owner and controller of the project hosting platform that will receive a Langenburg Technologies installation. If there is a proposing entity that is representing the prospective end-user client, then evidence of corporate authority to legally act on behalf of the prospective end-user client is required.

3. Financial Qualification
A bank certified instrument showing proof-of-funds, that are sufficient and available to make the one-time Licensing and Engagement Fee, which is calculated by Langenburg's Director of Projects some time after submission of a Letter of Intent.

The Request for services comprises a more formal project overview, with attached executive summary, executive CVs; full description of the project hosting platform; and initial specification for Service Provider (Langenburg) to fulfill.

5. Nondisclosure Agreement
A Non-mutual NDA is reviewed and signed by the prospective end-user client. Receipt of its acceptance signature-confirmed by Langenburg’s Director of Projects upon submission of the flat, one-time Licensing & Engagement Fee from the prospective end-user client.

The LOI is submitted by the prospective end-user client, and formalizes submissions of the following instruments of the engagement docket: (#1) Project Inquiry; (#2) Verification of Ownership and Control; (#3) Financial Qualification; and (#4) Request for Services.
​
The engagement agreement comprises a bilateral License, Supply And Services Contract by and between the service provider (Langenburg) and the end-user client. It contains the finalized project description, revenue sharing agreement, payment schedule, tariffs and rates, architectural plans, civil/municipal permits, certifications, and relevant purchase agreements (PPA, WPA, mining assay, etc…).

A required feasibility study is performed by Langenburg's Director of Projects (a licensed engineer), certified to become a bankable instrument – certified as a bankable instrument that is used to qualify funding of the leased systems will be custom designed to the end-user client's specification... then manufactured, delivered, installed, configured and tested by Langenburg Technologies.

The one-time, flat licensing and engagement fee activates the formal engagement by and between the end-user client and Langenburg Technologies. This fee is also necessary to cover the required insurance “wrappers” pursuant to the executed engagement agreement, and to the completed feasibility study.

TERMS & DISCLAIMERS REGARDING THE ENGAGEMENT DOCKET
1) Exclusive service provider of core technology developed by Langenburg Research
Langenburg Technologies in Eugene, OR USA, is the sole and exclusive service provider for any/all applications of the proprietary core technology developed by Langenburg Research.

2) Project-based engagement model
A Project Inquiry, introduces a project's hosting platform suitable to host a Langenburg equipment installation.

3) Engagement is very selective and limited
Services are made available to entities in qualifying standing that own and control a project determined to be viable, that are of suitable interest to Langenburg.
4) Langenburg is a service provider
The Project-Based Engagement model positions Langenburg as the sole provider of services to formally engaged end-user Customers.

5) Sole vehicle to become and end-user is by engagement – no sale of technology or equipment
Langenburg Company Policy is the sole vehicle to formally engage a project. Solicitations for partnerships or any other type of business relationship are not accepted.
6) Sole financial transaction authority
All financial transactions are processed directly through Langenburg headquarters, exclusively by arrangement with it's owner and president Prinz Albrecht zu Hohenlohe-Langenburg, in coordination with Langenburg's Director of Projects.

7) Direct and exclusive access to engagement through Langenburg Technologies
Langenburg works directly with the end-user that currently owns/controls the project hosting platform. Solicitations and offers for independent agency or brokerage are not accepted.
8) Long-term lease program for licensed use of the technology and systems
Proprietary systems available through use license and long-term equipment lease, are not for sale. Langenburg does not make any products available for wholesale or retail. The cost or value of the physical equipment that embody Langenburg core technology, is not disclosed.

9) Vetting the prospective client's project hosting platform
The Langenburg Director of Projects is a licensed professional engineer in Germany – the sole party authorized to determine a project's viability for qualification as a feasible platform to host a Langenburg installation.

10) Tech licensing, deployment and integration – versus tech transfer of intellectual property
The customer's hosting platform is a site in which the leased equipment from Langenburg can be installed for throughout the term of the lease and use-license. A business relationship with Langenburg does not make or allow any technology transfer. Langenburg's unique business model excludes the following: co-development opportunities; collaborative research and development; investment into IP holdings; co-mingling of the intellectual property aspect of its proprietary technology. The scope and extent of any business relationship with Langenburg is limited in strict accordance to its company policy – the formally engaged end-user customer may lease and use the equipment supplied for installation and integration at customer's technology hosting platform. Langenburg's business model enables direct managing control of its intellectual property in order to foster and preserve its availability for ongoing benefit.

11) Readiness level of prospective clients project hosting platform
Present a hosting platform in late-stage development, near-operational, or an existing facility ready to accept a Langenburg systems installation. The ideal facility is secure and without unencumbered access to Langenburg staff throughout the term of the engagement. The facility of the hosting platform should be a much as possible, a "plug'n-play" status as possible in order to receive a Langenburg equipment installation. Langenburg also designs and manufactures customized components required for its systems interface (an installation kit). The projected cost to ready a customer's facility for Langenburg equipment installations should be as minimal as possible, and is subject to negotiation regarding its financing with Langenburg's director of projects.

12) Public disclosure and public relations regarding Langenburg's proprietary technology and systems
This website is the most complete public disclosure of Langenburg's proprietary technology. Unless otherwise arranged and agreed, any public references to systems and projects that are planned to be, or have become dependent upon capabilities enabled by Langenburg's services, must disclose this fact in its public relations campaigns, social media, other published materials, and in any scenario of valuation regarding operations or physical property that is hosting a Langenburg Technologies installation. Any party making references Langenburg Technologies or Langenburg Research brand, or to any content of this official website will include a direct link to http://langenburgtechnologies.com.

13) Langnenburg technology and systems have been pre-vetting for financing an engagement
Funding institutions associated with Langenburg have vetted the scientific basis and readiness level of the core technology, including its applications and its functionality of systems and equipment. No other funding is accepted for the cost of the custom design, manufacture, delivery, installation and setup at the hosting platform facilities.

14) Bilateral contract by and between client and service provider (Langenburg)
End-User Customer and Provider (Langenburg) enter a bilateral License, Supply, and Services Contract with attached exhibits, such as bankable instruments of security. End-User Customer entities may be a consortium in the form of a special purpose vehicle, and is the owner/controller of the formally engaged project.

15) Bankable instruments used to back and secure an engagement
A formal engagement is secured by bankable instruments such as a Power Purchase Agreement (PPA), Water Purchase Agreement (WPA), Waste Remediation Agreement (WRA), Mining Assay (WRA) (click – see Notices of Importance regarding Certifications of Mining Assays). The Langenburg Feasibility Study (LFS) also serves as certification required with formal engagement.

16) Technical liaison of end-user client
Independent parties submitting a Project Inquiry Form are notified to prepare evidence of corporate authority to legally act on behalf of the owning/controlling entity positioned to become an End-User Client of Langenburg's service provisions. An end-user is the direct beneficiary of the physical installation of Langenburg proprietary equipment. Inquiring parties must be the designated technical liaison to Langenburg, with qualifications in fields such as industrial-architectural project development and management, municipal utilities, engineering support, etc...
17) Financial qualification of the prospective end-user client
Bank-certified proof-of-funds establishing standalone financial clout are required in advance of signing the Langenburg NDA, and for continuance of the formal engagement process. A Langenburg NDA is signed only by its Receiving Party, may not be used to leverage funding for a prospective client or project hosting platform.

18) Determination of the one-time, flat engagement fee
Large-scale, heavy industrial, community/business developments, municipal, and other high-value projects are preferred for a sufficient return on investment for both the End-User Client and Service Provider (Langenburg). Given the variable range of proposals, the target fee amount is $5M to $6M USD in accordance to Langenburg Company Policy (refer to company policy details on this page).

19) Required feasibility study performed by Langenburg engineer
Langenburg's lead engineer is the Director of Projects that will complete the required feasibility study; the cost of which may be integrated with the One-Time Flat Engagement Fee in certain cases. After its certification, the feasibility becomes a bankable instrument used in-part to qualify funding for the Langenburg equipment installation.

20) No opportunity for investment into the proprietary technology
Langenburg does not accept investment funding for its corporate operations, existing intellectual property, intellectual property development, or to fund its equipment that is provided under use license and lease agreement.

21) Standalone business model
Langenburg's business model is standalone, and cannot be integrated with any other business model introducing non-contractural dependencies. Key instruments of Langenburg's engagement docket that have modified titles, or additions of any content that introducing an alternative business model, or any other contractual dependency, cannot be accepted into the engagement docket.

22) Non-mutual Langenburg non-disclosure agreement
In order to protect the proprietary nature of the core technology and its embodiments, Langenburg requires signature of its NDA, usually submitted together with Bank-Certified Proof of Funds. Upon completion of formal engagement, a signature block on the NDA denoting confirmation of receipt, is completed by Langenburg's Director of Projects and returned to the prospective client.

23) Circumstances leading to potential cancellation of an engagement with Langenburg
– Non-compliance of Langenburg Company Policy or Terms for Engagement.
– Inadequate value proposition of proposed project &/or hosting platform.
– Issues with physical access to project site property.
– Submitting engagement documents modified beyond company policy guidelines.
– Integration of activities imposing upon Langenburg Company Policy.
– Integration of activities imposing non-contractural obligations to Langenburg.
– Insufficient information provided in response to Langenburg's queries.
– Insufficient standalone financial clout or standing to engage.
– Inactivity during engagement process.
– Compromising Langenburg's Media Usage Policy.
– Public claims of partnership or affiliation with, or agency to Langenburg.

24) Langenburg proprietary synthetic non-carbon fuels (LT UltraFuel™)
Langenburg Systems operates emission-free by synthesizing its own proprietary non-carbon fuel. This fuel is produced on-demand in an amount necessary to operate on a self-sufficient regenerative basis, and will not be available for use by and End-User Customer for any purpose that is external from Langenburg Systems.
