LANGENBURG TECHNOLOGIES (LT) INVITES PROSPECTIVE END-USER CLIENTS TO ENGAGE FOR LICENSED USE OF ADVANCED PROPRIETARY TECHNOLOGY SOLUTIONS DEVELOPED BY LANGENBURG RESEARCH. LARGE-SCALE DEPLOYMENTS IN HEAVY INDUSTRIAL, AND MUNICIPAL UTILITY APPLICATION SETTINGS ARE PREFERRED.
Langenburg offers licensed use of its proprietary custom-designed and manufactured technology solutions – scalable, capable, and configurable to any international standard. The business model is a renewable 20-year equipment lease program initiated by one-time flat engagement and feasibility study fees. The engagement fee is calculated, determined by the project inquiry. Delivery of the required Langenburg-performed feasibility study, is a standard $250K fee. Bilateral Engagement is by and between the end-user client and the service provider (LT). The lease program requires no lease payments, however the profits are shared between the service provider and engaged end-user client. The engagement agreement is a standardized License, Supply And Services Contract, in accordance to Langenburg Company Policy.

REQUIRED INSTRUMENTS OF THE PROJECT ENGAGEMENT DOCKET
A introductory inquiry submitted by the prospective end-user client that will be the funder of engagement and feasibility study fees, to be used for Langenburg's initial viability assessment, estimated engagement fee, estimated profit share ratio, hosting platform readiness, and overall viability determination. Project inquiries serve as a draft request for services, and to outline the required feasibility study performed by Langenburg.

2) Verification of Ownership & Control
Evidence that the project's hosting platform is verifiably owned and controlled without encumbrance, by the prospective end-user client that is financially responsible for the required feasibility study and engagement fees.

3) Financial Qualification
A bank-certified instrument used as evidence of financial clout, necessary to cover the fees for the required feasibility study and engagement fees.

4) Nondisclosure Agreement
A Non-mutual NDA that signed by the prospective end-user client. Upon a successful engagement, receipt of its acceptance is signature-confirmed by Langenburg’s director of projects. This document is not intended as evidence of a business relationship with Langenburg, nor as an instrument in qualifying for external financing.

5) Letter of Intent with Request for Services
An official letter formalizing intent to engage with a finalized project proposal, and with a request for services.

A bilateral license, supply & services contract by and between the end-user client and service provider (LT) with finalized project description and specification, the finalized one-time flat engagement fee amount, revenue sharing agreement, operation agreement, tariffs and rates, architectural plans, civil/municipal permits, certifications, and relevant purchase agreements (PPA, WPA, mining assay, etc…).

Performed by LT, the feasibility study becomes certified as a bankable instrument by Langenburg's funding institutions. The cost of the delivered feasibility study is $250K, in which the efficacy and readiness-level of LT has been pre-vetted.

A flat, one-time fee to formally activate a engagement as an end-user client, specified in the engagement agreement. Regarding the Langenburg equipment installation at the engaged project hosting platform – there is no additional funding required to cover the customized design, manufacture, delivery, installation with connections kit, system configuration, and pre-operational testing.

1) Exclusive service provider of core technology developed by Langenburg Research
Langenburg Technologies in Eugene, OR USA, is the sole and exclusive service provider for any/all applications of the proprietary core technology developed by Langenburg Research.

2) Project-based engagement model
A Project Inquiry, introduces a project's hosting platform suitable to host a Langenburg equipment installation.

3) Engagement is selective and limited
An open invitation is made for prospective end-user clients in order to qualify, and in-following with the required instruments of the engagement docket of Langenburg Company Policy.
4) Langenburg is a service provider
The Project-Based Engagement model positions Langenburg as the sole provider of services to formally engaged end-user Customers.

5) Sole vehicle to become and end-user is by engagement – no sale of technology or equipment
Langenburg Company Policy is the sole vehicle to formally engage a project. Solicitations for partnerships or any other type of business relationship are not accepted.
6) Sole financial transaction authority
All financial transactions are processed directly through Langenburg headquarters, exclusively by arrangement with it's owner and president Prinz Albrecht zu Hohenlohe-Langenburg, in coordination with Langenburg's Director of Projects.

7) Direct access to Langenburg Technologies
Langenburg corresponds DIRECTLY with the prospective end-user client entity, that currently owns/controls an existing project hosting platform, that is ready to accept a Langenburg Systems installation. Solicitations and offers for independent agency or brokerage are not accepted.
8) Long-term lease program for licensed use of the technology and systems
Proprietary systems available through use license and long-term equipment lease, are not for sale. Langenburg does not make any products available for wholesale or retail. The cost or value of the physical equipment that embody Langenburg core technology, is not disclosed.

9) Vetting the prospective client's project hosting platform
The Langenburg Director of Projects is a licensed professional engineer in Germany – the sole party authorized to determine a project's viability, and to qualify the feasibility of a platform set to host a Langenburg installation.

10) No technology or intellectual property transfer
The end-user client's hosting platform is a site in which the leased equipment from Langenburg can be installed and operated throughout the term of the lease and use-license. A business relationship with Langenburg will not constitute any intellectual property or technology transfer. Langenburg Company Policy excludes any co-development opportunities; collaborative research and development; investment into IP holdings; co-mingling of the intellectual property aspect of its proprietary technology.

11) Readiness level of prospective clients project hosting platform
Present a hosting platform in late-stage development, near-operational, or an existing facility ready to accept a Langenburg systems installation. The ideal facility is secure and without unencumbered access to Langenburg staff throughout the term of the engagement. The facility of the hosting platform should be a much as possible, a "plug'n-play" status as possible in order to receive a Langenburg equipment installation. Langenburg also designs and manufactures customized components required for its systems interface (an installation kit). The projected cost to ready a customer's facility for Langenburg equipment installations should be as minimal as possible, and is subject to negotiation regarding its financing with Langenburg's director of projects.

12) Public disclosure and public relations regarding Langenburg's proprietary technology and systems
This website will remain the only approved, and exclusive public disclosure of Langenburg's proprietary technology. Unless otherwise arranged and agreed, any public references to systems and projects that are planned to be, or have become dependent upon capabilities enabled by Langenburg's services, must disclose this fact in its public relations campaigns, social media, other published materials, and in any scenario of valuation regarding operations or physical property that is hosting a Langenburg Technologies installation. Any party making references Langenburg Technologies or Langenburg Research brand, or to any content to the official website of Langenburg Technologies (this website) shall include a direct link to:

13) Pre-vetted financing via Langenburg, allocated to systems and equipment installed
Funding institutions via Langenburg, have vetted readiness level of the core technology, including feasibility of its manyapplications. Financing via Langenburg is limited to the custom design, manufacture, delivery, installation, immediate connection hardware kits, and for setup and configuration at the hosting platform of the end-user client. There is no funding available for the customer's project hosting platform.

14) Bilateral contract by and between client and service provider
The End-User Client (customer) and Service Provider (Langenburg) enter a bilateral License, Supply, and Services Contract with attached exhibits, such as the bankable instruments providing the security basis of the engagement. End-User Customer entities may be a consortium, in the form of a special purpose vehicle, and is the owner/controller of the project-hosting platform.

15) Bankable instruments used to back and secure an engagement
A formal engagement is secured by bankable instruments such as a Power Purchase Agreement (PPA), Water Purchase Agreement (WPA), or Certified Mining Assay (CMA). The required Langenburg Feasibility Study (LFS) is a certification required by the financial institutions of Langenburg Technologies.

16) Evidence of authority to legally act on behalf of the owner/controller of the project-hosting platform
Independent parties submitting a Project Inquiry Form are notified to prepare evidence of corporate authority to legally act on behalf of the owning/controlling entity positioned to become an End-User Client of Langenburg's service provisions. An End-User Clientis the direct beneficiary Langenburg Systems installation, and the direct beneficiary of the technology solution. Inquiring parties must be at minimum, a designated technical liaison on behalf of the owner/controller of the project, with technical project management experience.
17) Financial qualification of the prospective end-user client
Bank-certified proof-of-funds establishing standalone financial clout are required in advance of signing the Langenburg NDA, signed only by its Receiving Party, and may not be used to shop or leverage ancillary investor funding.

18) Calculation of the one-time, flat engagement fee
Large-scale, heavy industrial, community/business developments, municipal, and other high-value projects are preferred for a sufficient return on investment (ROI). Given the widely variable range of structure of any given proposal, the target fee amount is 6-12 M USD.

19) Required feasibility study performed by Langenburg engineer
Langenburg's lead engineer is the Director of Projects that will complete the required feasibility study – the cost of which may be integrated with the One-Time Flat Engagement Fee in certain cases. The Feasibility Study is certified as a bankable instrument, that is also used to justify funding for the cost of the equipment of a Langenburg Systems installation.

20) No opportunity for investment or co-development into the proprietary technology
Langenburg does not accept investment funding for its corporate operations, existing intellectual property, intellectual property development, or to fund its cost of the equipment that is that is installed at the project-hosting platform, under the 20-year renewable use license and lease agreement.

21) Standalone business model
Langenburg's business model is standalone, and cannot be integrated with any other business model introducing non-contractural dependencies. Key instruments of Langenburg's engagement docket that have modified titles, or additions of any content that introducing an alternative business model, or any other contractual dependency, cannot be accepted into the engagement docket.

22) Non-mutual Langenburg non-disclosure agreement
In order to protect the proprietary nature of the core technology and its embodiments, Langenburg requires signature of its NDA, usually submitted together with Bank-Certified Proof of Funds. Upon completion of formal engagement, a signature block on the NDA denoting confirmation of receipt, is completed by Langenburg's Director of Projects and returned to the prospective client.

23) Circumstances leading to cancellation of an engagement process
– Non-compliance of Langenburg Company Policy or Terms for Engagement.
– Inadequate value proposition of proposed project &/or hosting platform.
– Issues with access and/or use, regarding the project hosting platform (site/property).
– Submitting engagement documents modified beyond company policy guidelines.
– Integration of activities imposing upon Langenburg Company Policy.
– Integration of activities imposing non-contractural obligations to Langenburg.
– Insufficient information provided in response to Langenburg's queries.
– Insufficient standalone financial clout or standing to engage.
– Inactivity during engagement process.
– Compromising Langenburg's Media Usage Policy.
– Public claims of partnership or affiliation with, or agency to Langenburg.
– Any attempt to re-brand, or independently promote Langenburg's proprietary technology.
– In any scenario, failure to identify Langenburg as the technology's proprietary owner.
– Failure to include a web-link to Langenburg's official website in any reference to the tech.
– Re-packaging, or re-interpretation of any Langenburg Technologies media

24) Langenburg proprietary synthetic non-carbon fuels (LT UltraFuel™)
Langenburg Systems operates emission-free by synthesizing its own proprietary non-carbon fuel. This fuel is produced on-demand in an amount necessary to enable self-sufficient regenerative operation. Until further notice, any use of this fuel remains exclusively internal to any Langenburg System.
