Proposals are welcomed for licensed use of advanced core tech solutions developed by Langenburg Research. Application settings for large-scale deployments in heavy industry, and civil infrastructure are preferred. Proposals are initiated by a Project Inquiry (see form on this page).

The current owner/controller of a project hosting platform makes a project inquiry to Langenburg. Project viability is determined from this introduction, including a draft request for services made by its end-user client.

Custom-designed and manufactured technology solutions – scalable, and configurable to any international standard. LT Systems operate at the highest performance available, and without any pollutive emissions.

LONG-TERM LEASE

Qualified prospective clients with viable projects submit one-time flat engagement fee, plus the cost of a feasibility study. Profits are shared between the service provider and engaged end-user client, without any recurring lease payments.

FEASIBILITY STUDY

The required feasibility study is performed by Langenburg's licensed engineer. Upon completion and delivery, the minimum $250K feasibility study fee is non-refundable.

ENGAGEMENT

Formal engagement is initiated by a one-time flat fee (down-payment). The fee calculation is based upon the nature and scope of the project. Engagement is made bilaterally, by and between the end-user client and the service provider (LT) using a standardized License, Supply And Services Contract.

Proposals are facilitated in accordance with Langenburg's company policy for engagement.

To request Langenburg's review of the proposed project, provide an overview with an initial statement of request for services. If the project is deemed viable and of interest, Langenburg will respond with an estimate of an engagement fee, and ratio of revenue share. To continue the project proposal, subsequent instruments of the engagement docket are provided by the prospective end-user client.

Sufficient financial clout, and ownership/control of the project hosting platform is required. Financials are qualified in the amount of the engagement fee estimated by Langenburg, and the required feasibility study (item #6) – typically $250K, variable with project complexity. The inquiring entity must wholly own and control the project hosting platform, without encumbrance.

Nondisclosure Agreement

Langenburg's non-mutual NDA is signed by the prospective end-user client. After formal engagement is completed, a receipt of its acceptance is signature-confirmed by Langenburg’s director of projects. This document is not intended as evidence of a business relationship with Langenburg, nor as an instrument in qualifying for external financing.

Intent Letter

The LOI formalizes intent to engage as an end-user client, with Langenburg Technologies as a service provider. Attached, is a formal prospectus of the end-user client entity, with a draft project proposal, and a draft request for services from Langenburg.

Engagement Agreement

A bilateral license, supply & services contract by and between the end-user client and service provider (LT) with finalized project proposal and its specifications, the finalized engagement fee amount, the revenue sharing agreement, the operations agreement, and other exhibits including: tariffs and rates overview: architectural plans; civil/municipal permits; certifications; power purchase agreements, water purchase agreements, waste remediation agreements, etc...

Feasibility Study

Performed by Langenburg, the feasibility study becomes certified as a bankable instrument by Langenburg's funding institutions that have pre-vetted the technology, which is used to secure the engagement agreement between the end-user client and the service provider.

Engagement Fee

A one-time fee initiating formal engagement in accordance with the executed engagement agreement, describing Langenburg's typical service provisions outlined as follows: – custom systems design to client specification – custom manufacture – delivery – installation and configuration – activation and testing – operations and revenue sharing

Langenburg company policy is a formal, standardized process that requires standing for an authentic project inquiry. 

THE PROPOSING ENTITY MUST BE:

the prospective end-user client entity, and/or party possessing corporate-governing and signatory authority, legally able to act on its behalf; also

√ 

financially responsible for entering into a bilateral engagement agreement; also

√ 

the current owner and controller of a proposed project hosting platform – without encumbrance, to an existing project (property and/or facility) that is ready and capable to receive the LT Systems installation; also

√ 

able to present bankable instruments to be used to financially secure the engagement with LT, such as a water purchase agreement, water purchase agreement, waste remediation agreement, or certified mining assay; also

√ 

able to present a prospectus to LT regarding the project hosting platform, its owners and controllers; also

√ 

not be an independent finding agent, representative, broker, or any other ancillary individual, party or entity that is, or would become positioned between a prospective end-user client and LT as the service provider; also

√ 

able to complete all of the required instruments of the engagement docket, in following with Langenburg's request for items of its due-diligence; also

√ 

in understanding and acceptance of Langenburg Company Policy, its Terms of Engagement and its Media Usage Policy; also

√ 

in understanding and acceptance that engagement is selective and limited – that a project proposal may be declined for any reason by the sole discretion of Langenburg Technologies.

Terms of Engagement

Engagement in accordance with Langenburg's company policy, with its required instruments and procedure, are subject to a set of general terms and disclaimers.

1.  Exclusive service provisions

Langenburg Technologies in Eugene, OR USA, is the sole and exclusive service provider for any/all applications of the proprietary core technology developed by Langenburg Research.

2.  Project-based engagement model

Prospective clients must present a viable project to begin a conversation with Langenburg by submitting a project inquiry.

3.  Engagement is selective and limited

An open invitation is made for prospective end-user clients in order to qualify, and in-following with the required instruments of the engagement docket of Langenburg Company Policy.

​

4.  No partnership or joint-ventures

Langenburg Company Policy is the sole vehicle to formally engage a project. Solicitations for partnerships or any other type of business relationship are not accepted.

 

5.  Sole financial transaction authority

All financial transactions are processed directly through Langenburg headquarters, exclusively by arrangement with it's owner and president Prinz Albrecht zu Hohenlohe-Langenburg, in coordination with Langenburg's Director of Projects.

6.  Direct access to Langenburg Technologies

Langenburg corresponds DIRECTLY with the prospective end-user client entity, that currently owns/controls an existing project hosting platform, that is ready to accept a Langenburg Systems installation.  Solicitations and offers for independent agency or brokerage are not accepted.

 

7.  Long-term lease program for licensed use of the technology and systems

Proprietary systems available through use license and long-term equipment lease, are not for sale.  Langenburg does not make any products available for wholesale or retail.  The cost or value of the physical equipment that embody Langenburg core technology, is not disclosed.

8.  No technology or intellectual property transfer

The end-user client's hosting platform is a site in which the leased equipment from Langenburg can be installed and operated throughout the term of the lease and use-license.  A business relationship with Langenburg will not constitute any intellectual property or technology transfer.  Langenburg Company Policy excludes any co-development opportunities; collaborative research and development; investment into IP holdings; co-mingling of the intellectual property aspect of its proprietary technology.

9.  Vetting and Readiness level of project hosting platform

The Langenburg Director of Projects is a licensed professional engineer in Germany – the sole party authorized to determine a project's viability, and to qualify the feasibility of a platform  set to host a Langenburg installation.Present a hosting platform in late-stage development, near-operational, or an existing facility ready to accept a Langenburg systems installation.  The ideal facility is secure and without unencumbered access to Langenburg staff throughout the term of the engagement.  The facility of the hosting platform should be a much as possible, a "plug'n-play" status as possible in order to receive a Langenburg equipment installation. Langenburg also designs and manufactures customized components required for its systems interface (an installation kit).  The projected cost to ready a customer's facility for Langenburg equipment installations should be as minimal as possible, and is subject to negotiation regarding its financing with Langenburg's director of projects.

10.  Public relations and disclosures 

This website will remain the only approved, and exclusive public disclosure of Langenburg's proprietary technology.  Unless otherwise arranged and agreed, any public references to systems and projects that are planned to be, or have become dependent upon capabilities enabled by Langenburg's services, must disclose this fact in its public relations campaigns, social media, other published materials, and in any scenario of valuation regarding operations or physical property that is hosting a Langenburg Technologies installation.  Any party making references Langenburg Technologies or Langenburg Research brand, or to any content to the official website of Langenburg Technologies (this website) shall include a direct link to:

11.  Langenburg systems is pre-vetted with built-in financing

Funding institutions via Langenburg, have vetted readiness level of the core technology, including feasibility of its many applications.  Financing via Langenburg is limited to the custom design, manufacture, delivery, installation, immediate connection hardware kits, and for setup and configuration at the hosting platform of the end-user client. There is no funding available for the customer's project hosting platform.

12.  Engagement contract is bilateral 

The End-User Client (customer) and Service Provider (Langenburg) enter a bilateral License, Supply, and Services Contract with attached exhibits, such as the bankable instruments providing the security basis of the engagement. End-User Customer entities may be a consortium, in the form of a special purpose vehicle, and is the owner/controller of the project-hosting platform.

13.  Engagement backed and secured by bankable instruments

A formal engagement is secured by bankable instruments such as a Power Purchase Agreement, Water Purchase Agreement, or Certified Mining Assay. The required Langenburg Feasibility Study is a certification required by the financial institutions of Langenburg Technologies.

14. Point-of-contact assigned by the project's owner/controller 

Independent parties submitting a Project Inquiry Form are notified to prepare evidence of corporate authority to legally act on behalf of the owning/controlling entity that is positioned to become an End-User Client of Langenburg's service provisions.  An End-User Client is the direct beneficiary Langenburg Systems installation, and the direct beneficiary of the technology solution.  Inquiring parties must be at minimum, a designated technical liaison on behalf of the owner/controller of the project, with technical project management experience

16. Calculation of engagement fee

Given the widely variable range of structure of any given proposal, the target fee amount is 6-12 M USD. Heavy industrial, community/business developments, municipal, and other high-value projects are preferred for a sufficient return through operations, distributed in accordance to the revenue share of the engagement agreement.

17.  Required feasibility study performed by Langenburg

Langenburg's lead engineer is the Director of Projects that will complete the required feasibility study – the cost of which may be integrated with the One-Time Flat Engagement Fee in certain cases. The Feasibility Study is certified as a bankable instrument, that is also used to justify funding for the cost of the equipment of a Langenburg Systems installation.

18. No investment or co-development opportunity

Langenburg does not accept investment funding for its corporate operations, existing intellectual property, intellectual property development, or to fund its cost of the equipment that is that is installed at the project-hosting platform, under the 20-year renewable use license and lease agreement.

19.  Standalone engagement model

Langenburg's business model is standalone, and cannot be integrated with any other model with non-contractural dependencies.  Key instruments of Langenburg's engagement docket that have modified titles, or additions of any content that introducing an alternative business model, or any other contractual dependency, cannot be accepted into the engagement docket.

20.  Non-mutual Langenburg non-disclosure agreement

Langenburg requires signature of its NDA, usually submitted together with Bank-Certified Proof of Funds.  Upon completion of formal engagement, a signature block on the NDA denoting confirmation of receipt, is completed by Langenburg's Director of Projects and returned to the prospective client. This document is not intended as evidence of a business relationship with Langenburg, nor as an instrument in qualifying for external financing.

21.  Langenburg proprietary synthetic non-carbon fuel ~ LT UltraFuel™

Langenburg Systems operates emission-free by synthesizing its own proprietary non-carbon fuel.  This fuel is produced on-demand in an amount necessary to enable self-sufficient regenerative operation. Until further notice, any use of this fuel remains exclusively internal to any Langenburg System.

22. Common reasons for cancellation of the engagement process

–  Non-compliance of Langenburg Company Policy or Terms for Engagement.

–  Inadequate value proposition of proposed project &/or hosting platform.

–  Issues with access and/or use, regarding the project hosting platform (site/property).

–  Submitting engagement documents modified beyond company policy guidelines.

–  Integration of activities imposing upon Langenburg Company Policy.

–  Integration of activities imposing non-contractural obligations to Langenburg.

–  Insufficient information provided in response to Langenburg's queries.

–  Insufficient standalone financial clout or standing to engage.

–  Inactivity during engagement process.

–  Compromising Langenburg's Media Usage Policy.

–  Public claims of partnership or affiliation with, or agency to Langenburg.

–  Any attempt to re-brand, or independently promote Langenburg's proprietary technology.

–  In any scenario, failure to identify Langenburg as the technology's proprietary owner.

–  Failure to include a web-link to Langenburg's official website in any reference to the tech.

–  Re-packaging, or re-interpretation of any Langenburg Technologies media

Langenburg Technologies may not be represented by, presented via, or reference to any another title, item or process, nor may it be associated with any other entity, company, party, brand, trademark, agreement or contract, non-disclosure, confidentiality or non-compete agreement, servicemark, copyright, patent, licensing/use agreement. There are no authorized presenters, brokers, or gateways, or representatives, other than Langenburg Technologies itself; other than the executives of Langenburg Technologies.
